Contract between Fan and Creator

1. Introduction

This Contract between Fan and Creator ("this Agreement") governs every interaction between a Fan and a Creator on PreFancy.

2. Scope

This Agreement is legally binding and applies each time a Creator Interaction is started on PreFancy. It applies instead of any other terms that the Fan or the Creator may propose.

3. Parties

The only parties to this Agreement are the Fan and the Creator taking part in the Creator Interaction. The Company is not a party to this Agreement or to any Creator Interaction, except as set out below.

4. Interpretation

In this Agreement, the following terms have these meanings:

  • "Company": PreFancy Inc., the operator of PreFancy;

  • "Content": any material Uploaded to PreFancy by any User, including photos, videos, audio, livestreams, stories, reels, text, messages, images, emojis, GIFs, data and metadata;

  • "Creator": a User who has set up their PreFancy account to post Content for Fans;

  • "Creator Earnings": the part of a Fan Payment payable to a Creator under the Terms of Use;

  • "Creator Interaction": any interaction on PreFancy that gives access to a Creator's Content or supports a Creator, including (i) a Subscription; (ii) a pay-per-view post or message; (iii) a tip; (iv) paid livestream access; and (v) any other payment between a User and a Creator's account or Content;

  • "Creator Interaction Licence": the non-exclusive, non-transferable and non-sublicensable right each Creator grants to a Fan to access Relevant Content;

  • "Fan": a registered User who accesses a Creator's Content through a Creator Interaction;

  • "Fan Payment": any payment related to a Creator Interaction, whether made by card, other payment method or Wallet Credits;

  • "Platform Fee": the fee charged to Creators on Fan Payments under the Terms of Use, as shown in the Creator's settings;

  • "Include", "Includes" and "Including" mean "without limitation";

  • "PreFancy": the website available at www.prefancy.com and any related apps and services, owned and operated by the Company;

  • "Paid Relevant Content": any Content that requires a Fan Payment to access;

  • "Referring User": a User who takes part in the PreFancy referral program;

  • "Relevant Content": the Content of a Creator to which a Creator Interaction relates;

  • "Subscription": a Fan's agreement to access, for a set period, all Content a Creator makes available to subscribers, in exchange for automatically renewing payments. It does not include individually priced Content;

  • "Tax": all taxes, duties, levies, charges and withholdings in any applicable jurisdiction;

  • "Terms of Service": the PreFancy Terms of Use, Privacy Policy and any other policies published on PreFancy;

  • "Upload": publish, post, display, type, input or otherwise share any Content;

  • "Wallet Credits": funds a User has added to their PreFancy wallet;

  • "User": any user of PreFancy, whether a Creator, a Fan or both (also "you" or "your").

5. Pricing and payment

A Fan who enters into a Creator Interaction agrees to pay the applicable Fan Payment, plus any applicable Tax, which the Company is authorised to collect. The Creator sets the price of each Creator Interaction. The Company is authorised to deduct the Platform Fee, to pay Creator Earnings to the Creator, and to pay any applicable referral rewards.

6. Subscriptions and renewals

When you select "Subscribe", you agree to start a Subscription. The Subscription automatically renews at the current price (plus any applicable Tax). You authorise the Company to charge you again at the end of each Subscription period, unless:

  • your payment is declined and you have not provided another payment method or sufficient Wallet Credits;

  • the Subscription price has increased;

  • you have switched off auto-renew for that Creator; or

  • you close your PreFancy account before the new Subscription period begins.

By selecting "Subscribe", you agree to these terms and acknowledge that you will not receive further notice before each renewal of that Subscription. If you cancel, you keep access until the end of the current period.

7. Licence of Content

As part of each Creator Interaction, the Creator grants the Fan a Creator Interaction Licence, which allows the Fan to access and view the Relevant Content on PreFancy for their own personal, non-commercial use.

The Fan must not download, record, copy, screenshot, share, resell, redistribute or publish any Relevant Content outside PreFancy, unless the Creator has expressly allowed it.

8. Ownership of Content

The Creator Interaction Licence does not give the Fan any ownership rights in the Relevant Content. The Creator (or their licensors) keeps all rights in it.

9. Expiry of licence

The Creator Interaction Licence ends automatically, without notice:

  • if the Fan Payment for the Creator Interaction fails, is charged back or is reversed;

  • if the Creator deletes the Relevant Content or their Creator account;

  • when an active Subscription period ends;

  • if the Fan's account is suspended or terminated;

  • if the Fan breaches the PreFancy Terms of Service or this Agreement;

  • if the Relevant Content is removed from the Creator's account, or the Creator's account is suspended or terminated; or

  • if the Fan closes their account.

10. Removal of Content

The Company may remove any Content from a Creator's account at any time. The Fan acknowledges that Creators may also remove Content, including pay-per-view Content, at any time.

11. Cancellation and refunds

For every Creator Interaction:

  • Paid Relevant Content is digital content that is made available immediately, or within 14 days, after the Fan Payment. By completing the Fan Payment, the Fan agrees that access starts straight away and, to the extent permitted by law, that any statutory right to cancel does not apply to Creator Interactions other than Subscriptions.

  • This Agreement does not affect any mandatory right to a refund that a Fan may have under the consumer protection laws of the country where they live.

  • Tips are voluntary and are non-refundable.

  • Cancellations and refunds are also subject to the PreFancy Terms of Use.

12. Obligations of the Creator and the Fan

  • The Fan and the Creator agree to comply at all times with the PreFancy Terms of Service.

  • The Creator is solely responsible for creating and publishing the Relevant Content.

  • The Creator confirms that they hold all rights needed to grant the Creator Interaction Licence, and that everyone appearing in the Relevant Content is at least 18 years old and has given their consent.

  • The Creator agrees to provide Paid Relevant Content once the Fan has made the Fan Payment, and that the Content will be as described.

  • The Fan acknowledges that third parties may help Creators to run their accounts and to handle Creator Interactions, including messages.

  • The Fan agrees to make the Fan Payment required to access Paid Relevant Content.

  • The Fan agrees not to start a chargeback unless they dispute the Creator Interaction in good faith, and agrees to contact [email protected] first to try to resolve any issue.

  • The Fan and the Creator agree to treat each other respectfully and not to harass, threaten or abuse each other.

  • The Fan accepts all risk of accessing the Relevant Content, unless the Creator acts negligently or otherwise breaches their duties.

13. No guarantees

The Fan acknowledges that circumstances may prevent access to Relevant Content, including when all or part of PreFancy is suspended, unavailable or under maintenance.

14. Applicable law and disputes

  • To the greatest extent permitted by the laws of the place where you live, this Agreement is governed by the laws of the jurisdiction in which PreFancy Inc. is incorporated. The Fan may also rely on the mandatory laws of the country where they live.

  • A Fan may bring a claim under this Agreement in the courts of that jurisdiction, or in the courts of the country where the Fan lives where the law allows.

  • Before starting any claim, the Fan and the Creator agree to try to resolve the dispute through PreFancy support at [email protected].

15. Severability

If any provision of this Agreement is found by a competent court to be invalid or unenforceable, or is prohibited by law, the remaining provisions will stay in full force and effect, as if the invalid provision had not been included.
